    1. Introduction and Acceptance of Terms These Terms of Service ("Terms") form a legally binding agreement between you and "CARENT GEORGIA" LLC (ID: 405841905), a limited liability company organised and operating under the legislation of Georgia ("CARENT," "we," "us," or "our"), governing your access to and use of the CARENT website, mobile applications, and related services (collectively, the "Platform"). CARENT operates a peer-to-peer marketplace that connects individuals who wish to rent out their vehicles ("Hosts") with individuals who wish to rent a vehicle for personal or business use ("Renters"). Hosts and Renters are collectively referred to as "Users," "you," or "your." By creating an account, browsing vehicle listings, making a booking, listing a vehicle, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, the Rental Terms & Conditions, the Car Listing Terms & Conditions, and any other policy referenced herein (collectively, the "Agreement"). If you do not agree, you must not access or use the Platform. 2. Definitions • Platform — The CARENT website (carent.ge), mobile applications, application programming interfaces, and all related services. • Host — A verified User who lists one or more vehicles for rent on the Platform. • Renter — A verified User who books and rents a vehicle listed on the Platform. • Listing — A vehicle profile created by a Host, including price, availability, photographs, mileage limits, and rental conditions. • Booking — A confirmed reservation of a Listing for a specific period, created through the Platform's booking flow and accepted by the Host (or auto-accepted, where enabled). • Trip — The period of use of the vehicle under a Booking, beginning at vehicle hand-over and ending at vehicle return between the Host and the Renter. • Rental Agreement — The direct contractual relationship formed between a Host and a Renter for a specific Booking, incorporating these Terms, the Rental Terms & Conditions, and the Listing details. • Payment System — CARENT's integrated payment processing infrastructure, operated directly or through licensed third-party payment service providers, used to collect, hold, and disburse funds relating to Bookings. • Security Deposit — An amount which a Host may require directly from a Renter as security against potential damage, fines, or additional charges arising from a Trip. A Security Deposit is agreed, paid, held, and returned solely between the Host and the Renter, outside the Platform and outside the Payment System. CARENT does not collect, hold, process, or return Security Deposits, and displays the amount indicated by the Host for information purposes only. • Service Fee / Commission — The fee charged by CARENT to Hosts and Renters for use of the Platform, as described in Section 8. • Verification Provider — Sumsub or any successor identity-verification service engaged by CARENT. 3. The Role of CARENT CARENT is a technology platform and intermediary only. We do not own, manufacture, inspect (beyond the checks described in these Terms), or operate any vehicle listed on the Platform, and we are not a party to the Rental Agreement formed between a Host and a Renter. CARENT is not a car rental company, a car dealership, a common carrier, an insurer, or an insurance intermediary within the meaning of the Law of Georgia on Insurance. CARENT's role is limited to: (a) providing the technology that allows Hosts to list vehicles and Renters to search for and book them; (b) performing identity verification and eligibility checks; (c) operating the Payment System described in Section 8; (d) verifying technical inspection status as described in Section 6.2; and (e) providing customer support and making available the Booking records described in Section 9.3. CARENT does not collect, hold, process, pre-authorise, guarantee, or return Security Deposits. Where a Listing indicates that a Security Deposit is required, CARENT is displaying information supplied by the Host and takes no responsibility for the deposit or for any arrangement between the Host and the Renter concerning it. CARENT does not attend, supervise, document, or verify vehicle hand-over or return, does not assess the condition of any vehicle, and does not evaluate, quantify, bill, collect, or enforce any claim for damage or other loss arising from a Trip. Such matters are settled directly between the Host and the Renter. CARENT's role in relation to them is limited to making available the Booking records described in Section 9.3. Hosts are solely responsible for the condition, roadworthiness, registration, mandatory insurance (including compulsory third-party liability cover where required by Georgian law), and legality of their vehicles. Renters are solely responsible for operating vehicles safely, lawfully, and in accordance with the Rental Agreement. 4. Eligibility 4.1 General Eligibility To use the Platform in any capacity, a User must: • Be at least 18 years of age, unless a higher minimum age is set by a specific Listing; • Hold full legal capacity to enter into binding contracts under the Civil Code of Georgia; • Hold a valid driving licence appropriate to the category of vehicle being rented (Renters), valid for the full duration of the Trip; • Provide accurate, current, and complete information during registration; and • Successfully complete identity verification through our Verification Provider. 4.2 Renters Renting a vehicle is open to individuals of any nationality who meet the verification and eligibility requirements set out in the Rental Terms & Conditions, including a valid driving licence, minimum driving experience, and, where applicable, a satisfactory driving-history check. 4.3 Hosts Listing a vehicle is available to individuals who are legally resident in Georgia, who are the registered owner of the vehicle or otherwise have documented legal authority to rent it out (for example, under a notarised power of attorney or leasing agreement). Additional requirements are set out in the Vehicle Listings (Section 6) and the Car Listing Terms & Conditions. 5. Account Registration and Verification You must create an account to access core features of the Platform. You agree to: • Provide accurate, complete, and current information and keep it up to date; • Keep your login credentials, password, and any two-factor authentication method confidential and secure; • Notify CARENT immediately at support@carent.ge of any unauthorised access to, or use of, your account; • Be solely responsible for all activity that occurs under your account, except to the extent caused by CARENT's own fault. CARENT enforces a verification-first policy. Booking or listing a vehicle, receiving payouts, and certain other actions require successful completion of identity verification via Sumsub (or a successor Verification Provider), which may include document checks, biometric liveness checks, and, where relevant, corporate registration checks. CARENT may refuse, suspend, or revoke access where verification cannot be completed or where information provided is false or misleading. 6. Vehicle Listings 6.1. Hosts are solely responsible for the accuracy of their Listings, including vehicle specifications, photographs, pricing, mileage allowances, availability calendar, pick-up/drop-off location, fuel/charging policy, the Security Deposit amount required (if any), and any specific rules (for example, restrictions on smoking, pets, or cross-border travel). A Listing constitutes an invitation to treat, not a binding offer; the Rental Agreement is formed only upon Booking confirmation in accordance with Section 7. Each listed vehicle must, at all times during which it is available for Booking: • Be validly registered in Georgia (or, where permitted, another jurisdiction) and technically roadworthy in accordance with applicable inspection requirements; • Carry valid compulsory insurance where such insurance is legally required for the vehicle category and use; • Be free of any undisclosed lien, encumbrance, or restriction that would prevent its lawful rental; and • Match the description, photographs, and condition presented in the Listing. CARENT may review, decline, suspend, or remove any Listing that it reasonably believes violates these Terms, applicable law, or poses a safety risk, without liability to the Host, and will where practicable provide notice of the reason. Detailed requirements for creating and maintaining a Listing are set out in the Car Listing Terms & Conditions. 6.2 Technical Inspection Validation During the process of creating a Listing, the Host must provide the vehicle's licence plate number and complete the validation process through the Platform. CARENT may verify the vehicle's technical inspection status through an applicable official, authorised or other legally permissible data source. Where the validation confirms that the vehicle does not have a valid technical inspection, where such inspection is mandatory under Georgian law, the Host will not be permitted to publish or activate the Listing. Where a valid technical inspection is confirmed, the Host may proceed with the Listing process, subject to all other applicable requirements. CARENT may periodically and/or automatically verify the validity of a vehicle's technical inspection while the vehicle remains listed or available for Booking. Where CARENT identifies that the technical inspection expires on a particular day, CARENT may conduct additional verification checks during that day to determine whether the inspection has been renewed. If the renewal is confirmed, CARENT may update the relevant inspection validity information and the Listing may remain active. If a valid technical inspection is not confirmed by the following calendar day, CARENT may deactivate the Listing. Deactivation does not constitute deletion of the Listing or the information associated with it. The Listing will cease to be publicly visible and will no longer appear in the Platform's search results. A deactivated Listing may not be reactivated until the vehicle has passed the required technical inspection and the renewed inspection has been verified by CARENT. 7. Booking Process and Rental Agreement 7.1. Initiation A Renter initiates a Booking by selecting a Listing, Trip dates, and any add-ons, and submitting payment authorisation through the Payment System for the rental price and the Renter Service Fee. Depending on the Host's settings, a Booking is either confirmed instantly or requires the Host's acceptance within the response window shown on the Platform (currently up to 24 hours; unanswered requests expire automatically). Where the Listing indicates that the Host requires a Security Deposit, that amount is not charged, held, or pre-authorised through the Payment System. It is settled directly between the Renter and the Host in accordance with Section 9. 7.2. Confirmation Upon confirmation, a direct Rental Agreement is formed between the Host and the Renter for that specific Trip, incorporating these Terms, the Rental Terms & Conditions, the Car Listing Terms & Conditions, and the details of the Listing. CARENT is not a party to that Rental Agreement but facilitates its formation through the Platform, including identity verification, Booking records, and the Payment System. 7.3. Hand-over and Return 7.3.1. Vehicle hand-over and return are arranged and carried out directly between the Host and the Renter, at the time and place agreed between them. CARENT does not attend, supervise, control, document, verify, or record hand-over or return, and holds no record of the condition, mileage, or fuel level of a vehicle at the start or end of a Trip. 7.3.2. The Host and the Renter are strongly recommended to document the condition of the vehicle together at both hand-over and return, including photographs, odometer and fuel readings, and a written or signed acceptance record. Such documentation is created, exchanged, and retained by the Host and the Renter themselves and is their primary evidence in the event of a dispute between them. 7.3.3. The payment and the return of any Security Deposit likewise take place directly between the Host and the Renter, and are not recorded, verified, or confirmed by CARENT. 8. Payments, Fees, and the Payment System 8.1 Currency and Processing All amounts on the Platform are listed and settled in Georgian Lari (GEL). Where a User's payment method or region requires it, a charge may instead be processed in USD or EUR. Payments are processed through CARENT's integrated Payment System, which relies on a licensed payment service provider regulated by the National Bank of Georgia. By adding a payment method, you authorise CARENT and its payment service provider to charge that payment method for all amounts due under a Booking, consisting of the rental price and the Renter Service Fee. Security Deposits, damage claims, fines, and any other amount arising from a Trip are not charged, held, pre-authorised, or collected through the Payment System, and are settled directly between the Host and the Renter in accordance with Section 9. 8.2 Service Fee / Commission • CARENT charges a total commission of 8% of the rental price, split equally between the Renter and the Host: • Renter service fee (4%): added on top of the Host's listed price and charged to the Renter at Booking. • Host service fee (4%): deducted from the amount otherwise payable to the Host as payout. • Example: on a Listing priced at 100 GEL/day: Listed daily price: 100 GEL (reference for the Renter); Service fee (4%): +4 GEL added to the price paid by the Renter; -4 GEL deducted from the Host's payout. Amount charged / received: 104 GEL charged to the Renter at Booking; 96 GEL paid out to the Host, paid out after 24 hours from booking start date. In this example, CARENT retains a total of 8 GEL on a 100 GEL/day booking. The applicable Service Fee percentage and any promotional adjustments will always be disclosed before a Renter confirms a Booking and before a Host publishes a Listing. 8.3 Escrow, Timing of Charge, and Payout 8.3.1. Upon confirmation of the Booking, the Renter's total amount (the rental price plus the Renter Service Fee) shall be charged or held through the Payment System. Where such amount is held rather than charged, the hold on the Renter's payment method shall be placed no earlier than 28 days before the start of the Trip. 8.3.2. Rental amounts may be held by CARENT (or its payment service provider) in a separate or pooled settlement account until the applicable release conditions are satisfied, and shall not be commingled with CARENT's own operating funds. 8.3.3. Unless a different schedule is specified for a particular Listing, the Host payout (the rental price less the Host Service Fee) shall be released within the timeframe indicated on the Platform following the start or completion of the Trip, as specified in the applicable Booking Policy, and shall be transferred to the Host's registered bank account or card. The payout timeframe may be extended if a dispute concerning the Booking itself or a fraud review is pending. 8.4 Accepted Payment Methods CARENT accepts payment by the methods displayed at checkout, which may include debit/credit cards and other electronic payment instruments supported by our payment service provider. CARENT does not store full card numbers; card data is processed and tokenised by our PCI-DSS-compliant payment service provider. 8.5 Taxes Hosts are solely responsible for determining and, where applicable, declaring and remitting any taxes due on their rental income under the Tax Code of Georgia, including under the small-business or individual entrepreneur regimes where relevant. CARENT may provide transaction summaries to assist with tax reporting but does not act as a tax agent unless expressly required by future changes in Georgian law. 8.6 Failed, Disputed, or Fraudulent Charges If a charge fails, is reversed, or is subject to a chargeback, CARENT may suspend the relevant account, offset the amount against future payouts, or pursue recovery through applicable legal means. CARENT reserves the right to withhold or reverse a payout where it reasonably suspects fraud, money laundering, or a violation of these Terms, in accordance with applicable Georgian anti-money-laundering legislation. 8.7 Claims Relating to the Payment System and Refunds Where a transaction is disputed or charged back and the matter relates directly to the operation of the Payment System — including a discrepancy between an amount held and an amount subsequently captured, the timing of a capture, or the release of an unused held amount — CARENT is responsible for reviewing that matter and, where necessary, issuing a refund. In all other cases — including disputes relating to the conduct of a Trip, the condition of the vehicle, a Security Deposit, or a disagreement between a Host and a Renter that does not arise from the operation of the Payment System itself — CARENT does not review the claim and does not issue a refund through the Payment System. 9. Security Deposit, Damage Claims, and Informational Support 9.1 Security Deposit 9.1.1. A Host may require a Security Deposit as a condition of a Booking. Where a Host requires a Security Deposit, the amount indicated by the Host is displayed on the Listing and shown to the Renter before Booking confirmation. 9.1.2. The Security Deposit is paid by the Renter directly to the Host, ordinarily at vehicle hand-over, in cash, by bank transfer, or by any other method agreed between them. The method of payment, the timing, the conditions for any deduction, and the manner and timing of return are agreed solely between the Host and the Renter and form part of their Rental Agreement. 9.1.3. The Security Deposit is returned by the Host directly to the Renter in accordance with that agreement. The Host is responsible for returning the Security Deposit, less any amount validly and reasonably deducted and documented in accordance with the Rental Agreement and applicable Georgian law. 9.1.4. CARENT does not collect, hold, process, pre-authorise, deduct from, guarantee, or return Security Deposits. No Security Deposit is charged to or held on a Renter's payment method through the Payment System, and no Security Deposit passes through CARENT at any time. 9.1.5. By displaying a Security Deposit amount on a Listing, CARENT is publishing information supplied by the Host. This does not constitute a representation, guarantee, or undertaking by CARENT as to the payment, safekeeping, deduction, or return of that amount. 9.1.6. CARENT accepts no responsibility or liability in respect of any Security Deposit, including its non-payment by a Renter, or its retention, deduction, partial return, or non-return by a Host, or any dispute concerning the amount deducted. 9.1.7. Where a dispute arises between a Host and a Renter concerning a Security Deposit, CARENT's involvement is limited to the informational support described in Section 9.3. 9.2 Damage and Other Claims Arising from a Trip 9.2.1. Amounts arising from a Trip other than the rental price and the Service Fee are claimed by the Host directly from the Renter and settled directly between them, including amounts relating to: • Physical damage to the vehicle beyond normal wear and tear; • Missing fuel or charge, cleaning beyond normal use, or missing accessories; • Traffic, parking, or toll violations, and administrative penalties incurred during the Trip; • Late return, unauthorised mileage overage, or unauthorised use; and • Any other amount expressly provided for in the Rental Terms & Conditions or the applicable Listing. 9.2.2. Where the Host holds a Security Deposit, the Host may recover such amounts from that deposit to the extent agreed with the Renter and permitted by applicable Georgian law. Any remaining balance is a matter between the Host and the Renter. 9.2.3. CARENT does not assess, verify, quantify, approve, bill, collect, offset, withhold, or enforce any such amount, and does not charge any such amount to a Renter's payment method or deduct it from a Host's payout. CARENT is not a party to any such claim and accepts no responsibility or liability for it, including for its validity, its amount, its payment, or its non-payment. 9.2.4. The Host and the Renter are each responsible for pursuing or defending any such claim through direct agreement, through their respective insurers, or through the competent authorities or courts of Georgia. 9.3 Informational Support by CARENT 9.3.1. On the reasonable request of a Host or a Renter, and where a dispute has arisen between them or where the information is required for an insurance claim, a police report, or legal proceedings, CARENT may make available the records it holds in relation to the relevant Booking. Depending on what CARENT actually holds, these may include: • Confirmation that a Booking was made, and its status, dates, and times; • Confirmation that the Host and the Renter completed identity verification, and the date on which it was completed; • The identification and contact details of the Host and the Renter, to the extent disclosure is permitted under the Law of Georgia on Personal Data Protection; • The details of the Listing and the vehicle, including registration plate, as supplied by the Host; • The technical inspection verification status recorded by CARENT for the vehicle at the relevant time, and the source of that verification; • Photographs and other Listing content uploaded by the Host; • Messages exchanged between the parties through the Platform, where such functionality is available; and • Records of amounts processed through the Payment System in connection with the Booking. 9.3.2. CARENT does not hold, and therefore cannot provide, any record of vehicle hand-over or return, of the condition of a vehicle at any point in time, of the payment or return of a Security Deposit, or of any payment made directly between a Host and a Renter. 9.3.3. Any information provided under this Section is factual and informational only. It is provided as a record of what CARENT holds, is not an assessment of any claim, is not binding on either party, does not constitute arbitration, adjudication, mediation, or a decision by CARENT, and does not render CARENT a party to the dispute or liable for its outcome. 9.3.4. CARENT may also disclose such records to the Patrol Police of Georgia, to a court, to an insurer, or to any other competent authority where required or permitted by law. 9.3.5. CARENT may decline a request under this Section where the request is unlawful, disproportionate, abusive, or where disclosure would breach the Law of Georgia on Personal Data Protection or any other applicable law. 10. Cancellations and Refunds Cancellation and refund terms are set by each Host within the cancellation-policy tiers made available by CARENT, and are displayed to the Renter before Booking confirmation. Refunds due under the applicable policy are returned to the Renter's original payment method via the Payment System; the Renter service fee may be non-refundable for late cancellations, as disclosed at Booking. The specific cancellation-policy tiers and Host-cancellation consequences are set out in the Rental Terms & Conditions and the Car Listing Terms & Conditions. Refunds processed by CARENT cover only amounts charged through the Payment System. Where a Security Deposit has already been paid directly to the Host, its return is settled directly between the Host and the Renter and is not processed, refunded, or guaranteed by CARENT. CARENT reserves the right to cancel a Booking and issue a full or partial refund, or to apply additional fees, where reasonably necessary to address suspected fraud, a safety concern, a vehicle that no longer meets the Listing description, or a material violation of these Terms by either party. Under the Law of Georgia on Consumer Rights Protection, certain statutory rights of consumers (where the Renter qualifies as a consumer and the Host acts in a commercial capacity) may apply in addition to, and cannot be limited by, the contractual cancellation policy described above. 11. Insurance Where mandatory motor insurance applies under Georgian law, the Host is responsible for ensuring the vehicle carries valid cover for the relevant vehicle category at all times, including during Trips. 12. Vehicle Use During a Trip Renters must operate the vehicle personally, in accordance with the Law of Georgia on Road Traffic, and only for lawful purposes consistent with the Listing's stated use. Renters may not: • Use the vehicle to transport passengers or goods for hire (e.g., ride-hailing or courier use) unless expressly permitted by the Listing; • Use the vehicle for towing, off-road driving, racing, or driving instruction, unless expressly permitted; • Operate the vehicle while under the influence of alcohol or drugs, or in violation of applicable law; • Sublet, re-rent, or transfer possession of the vehicle to a third party; or • Remove, disable, or tamper with any GPS, telematics, or immobiliser device installed by the Host, where disclosed in the Listing. Fuel/charge must be returned to the level specified in the Rental Agreement; mileage is subject to any limit stated in the Listing, with any overage payable by the Renter directly to the Host at the rate stated in the Listing. Detailed rules governing the Trip are set out in the Rental Terms & Conditions. 13. Accidents, Breakdowns, and Roadside Incidents In the event of an accident, breakdown, theft, or other incident during a Trip, the Renter must, as applicable and where safe to do so: • ensure the safety of all persons involved and contact emergency medical services if anyone is injured; • contact the Patrol Police of Georgia and obtain an official report or protocol, particularly where required to support an insurance or damage claim; • notify the Host and CARENT through the Platform as soon as reasonably possible, and in any event within 24 hours of the incident; • not admit fault or liability to any third party, and not agree to any settlement without the Host's knowledge; • take reasonable steps to prevent further loss, such as arranging for the vehicle to be safely secured or towed. Failure to promptly report an incident or to cooperate with the resulting investigation may result in the Renter being held responsible for the full cost of the resulting loss or damage. 14. Traffic Violations, Tolls, and Fines The Renter is responsible for all traffic fines, parking charges, toll fees, and administrative penalties incurred during the Trip. Where such a fine is issued to the Host as the registered owner or keeper of the vehicle, the Host may recover the amount directly from the Renter, including from any Security Deposit held by the Host, supported by documentation identifying the vehicle, date, and time of the violation. CARENT does not receive, pay, contest, or pass on any such fine, and does not charge any such amount through the Payment System. On request, CARENT may provide the Booking records described in Section 9.3, including the dates and times of the Booking and the identity of the Renter, to enable the Host or a competent authority to identify the person responsible. 15. Ratings and Reviews CARENT operates a two-way review system allowing both Hosts and Renters to leave ratings after a completed Trip. Reviews must be honest, factual, based on first-hand experience, and respectful; they may not contain unlawful, defamatory, discriminatory, or unrelated commercial content. CARENT reserves the right to remove reviews that violate these guidelines or that appear to be fraudulent or manipulated, and to suspend the reviewing privileges of Users who abuse the system. 16. Platform Use Rules and Prohibited Conduct All Users must comply with applicable Georgian law and these Terms. You may not: • Provide false, misleading, or fraudulent information, including regarding your identity, driving licence, or vehicle ownership; • Use the Platform for any unlawful or unauthorised purpose; • Attempt to circumvent the Platform's verification, payment, or booking systems, including by arranging payment or contact information exchange to complete a transaction outside the Platform ("off-platform circumvention"). For the avoidance of doubt, the direct payment and return of a Security Deposit, and the direct settlement of any amount arising from a Trip, between a Host and a Renter in accordance with Section 9 do not constitute off-platform circumvention; • Harass, threaten, discriminate against, or abuse other Users or CARENT staff; • Interfere with, reverse-engineer, or overburden the Platform's technical infrastructure, including through scraping, bots, or unauthorised API access; • Create multiple accounts for deceptive purposes, or use the Platform after a prior suspension without CARENT's written consent. Violation of this Section may result in warning, suspension, permanent removal from the Platform, forfeiture of pending payouts to the extent permitted by law, and/or referral to competent Georgian authorities. 17. Cookie Policy We use cookies to automatically collect information when you use our car rental platform. This helps us enhance your experience, optimize performance, deliver relevant marketing, and analyze service usage. Cookies are small text files that allow our platform to recognize your device and remember preferences. We use authentication cookies to verify your identity and show personalized recommendations, session cookies to maintain your browsing session, security cookies to protect your account, and preference cookies to remember your choices like pickup locations and vehicle preferences. Performance cookies help us monitor traffic and optimize our booking process. Third-party cookies from trusted partners assist with analytics, advertising, and social media integration. We use Google Analytics cookies to track visitor interactions and improve our services across devices and marketing channels. You can control cookie settings through your browser or our management tools. Disabling certain cookies may affect platform functionality and limit your ability to complete bookings. 18. Intellectual Property All content on the Platform, including its logos, trademarks, design, software, source code, and text, is the intellectual property of CARENT or its licensors and is protected under the Law of Georgia on Copyright and Related Rights and applicable trademark legislation. Except as necessary to use the Platform for its intended purpose, you may not copy, reproduce, distribute, modify, or create derivative works from Platform content without CARENT's express prior written permission. Photographs and descriptions uploaded by Hosts remain the Host's property, subject to a non-exclusive licence granted to CARENT to display and promote the Listing on and in connection with the Platform. 19. Privacy and Data Protection CARENT processes personal data as a data controller in accordance with the Law of Georgia on Personal Data Protection (Law No. 3144, adopted 14 June 2023, as amended) and our Privacy Policy, which is incorporated into these Terms by reference. Personal data is collected and processed for purposes including identity verification (via our Verification Provider), Booking and payment processing, fraud prevention, customer support, and legal compliance, on the legal bases of contractual necessity, legitimate interest, consent, and/or legal obligation, as applicable to each processing activity. Data subjects have the rights available under the Law of Georgia on Personal Data Protection, including the right to access, rectify, restrict, object to, and, where applicable, request erasure or portability of their personal data, and the right to lodge a complaint with the Personal Data Protection Service of Georgia. Requests may be submitted to support@carent.ge. Payment card data is processed by our licensed payment service provider under PCI-DSS standards and is not stored by CARENT in full. 20. Limitation of Liability To the maximum extent permitted by the legislation of Georgia, CARENT is not liable for: • The acts, omissions, or conduct of any Host or Renter, including the roadworthiness, safety, or legality of any listed vehicle; • Any loss, damage, personal injury, or expense arising out of or in connection with a Trip or Rental Agreement; • Any Security Deposit agreed or paid directly between a Host and a Renter, including its non-payment, retention, deduction, partial return, or non-return; • The condition of any vehicle at hand-over or return, the conduct of hand-over or return, and the existence, adequacy, or accuracy of any documentation of it made by the Host or the Renter; • Any claim for damage, cleaning, fuel, mileage overage, fine, or other amount arising from a Trip and settled directly between a Host and a Renter, including its validity, amount, payment, or non-payment; • Disputes between Hosts and Renters, other than through the resolution process described in Section 24; and • Service interruptions, data loss, or technical failures beyond CARENT's reasonable control. Subject to the mandatory provisions of the Civil Code of Georgia and the Law of Georgia on Consumer Rights Protection that cannot be excluded or limited by agreement (including liability for death, personal injury, or wilful misconduct or gross negligence, which is not limited by this Section), CARENT's aggregate liability arising out of or in connection with a given Booking shall not exceed the total Service Fee actually received by CARENT in connection with that Booking. 21. Indemnification You agree to indemnify and hold CARENT, its officers, employees, and partners harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your breach of these Terms, your violation of applicable law, or your infringement of any third-party right, except to the extent such claims arise from CARENT's own fault. 22. Suspension and Termination You may close your account at any time, subject to the completion of any Booking or Trip already in progress and settlement of any outstanding amounts. CARENT may suspend or terminate your account or access to the Platform, with notice where reasonably practicable, where you materially breach these Terms, pose a safety or fraud risk, or where required by law. Sections of these Terms that by their nature should survive termination (including Sections 18–20 and 24) will continue to apply. 23. Force Majeure Neither CARENT nor any User is liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disaster, war, civil unrest, governmental action, epidemic, or failure of telecommunications or banking infrastructure, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact. 24. Governing Law and Dispute Resolution These Terms, and any dispute arising out of or in connection with them or your use of the Platform, are governed by the substantive law of Georgia, without regard to conflict-of-law principles. This governing-law and dispute-resolution framework applies equally to the Car Listing Terms & Conditions and the Rental Terms & Conditions, and to any Rental Agreement formed under them, unless a specific provision of those documents expressly states otherwise. CARENT encourages Users to first attempt to resolve any dispute amicably through the Platform's support channel (support@carent.ge). In relation to a dispute between a Host and a Renter concerning a Security Deposit, the condition of a vehicle, damage, fines, or any other amount arising from a Trip, CARENT's involvement is limited to the informational support described in Section 9.3. CARENT does not determine, decide, or enforce the outcome of such a dispute, and its involvement does not affect either party's rights or remedies under Georgian law. Where a dispute cannot be resolved amicably within 30 days, it shall be submitted to the competent courts of Georgia having jurisdiction over CARENT's place of registration, save where mandatory consumer-protection rules grant the Renter, acting as a consumer, the right to bring proceedings before the courts of their place of residence within Georgia. 25. Amendments CARENT may modify these Terms (including the Car Listing Terms & Conditions and the Rental Terms & Conditions) from time to time to reflect changes in the Platform, our services, or applicable law. Material changes will be communicated via the Platform and/or by email at least 15 days before taking effect, except where an immediate change is required for legal, security, or regulatory reasons. Changes will apply to Bookings confirmed after the effective date of the change and will not retroactively alter the terms of a Trip already underway. Continued use of the Platform after the effective date of a change constitutes acceptance of the revised Terms; Users who do not agree should stop using the Platform and may close their account. 26. Miscellaneous 26.1 Entire Agreement These Terms, together with the documents referenced herein, constitute the entire agreement between you and CARENT regarding the Platform and supersede any prior agreements on the same subject matter. 26.2 Severability If any provision of these Terms is found invalid or unenforceable under Georgian law, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects its original intent. 26.3 No Waiver CARENT's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. 26.4 Assignment You may not assign or transfer your rights or obligations under these Terms without CARENT's prior written consent. CARENT may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to Users. 26.5 Electronic Communications and Signatures You consent to receive communications from CARENT electronically, and agree that electronic acceptance of these Terms and electronic signatures used on the Platform have the same legal effect as handwritten signatures, to the extent permitted under the Law of Georgia on Electronic Document and Electronic Trust Services. 27.
